Telenor to Acquire 100 Percent of Pannon GSM in Hungary


OSLO, Norway, July 26, 2001 (PRIMEZONE) -- Telenor (Nasdaq:TELN), through its mobile arm Telenor Mobile (TM), has today signed Heads of Terms with the Dutch Telecommunications Company KPN, Finland's Sonera, and Denmark's Tele Danmark Communications (TDC) (NYSE:TLD) to acquire all the shares it does not already own in Hungary's second largest mobile operator, Pannon GSM Rt. (Pannon GSM). Following the completion of transaction, Telenor will increase its holding in Pannon GSM from 25.78 percent to 100 percent.

KPN, Sonera, and TDC have agreed to sell, respectively, 44.7 percent, 23.0 percent, and 6.6 percent of Pannon GSM for a total price of Euro 1.002 million, equivalent to an equity value of Euro 1.350 million for 100 percent of Pannon GSM. Pannon GSM has net debt of approximately Euro 250 million. The transaction is subject to certain conditions, including, amongst others, corporate approvals, regulatory approvals, as well as a final share purchase agreement between the parties. The acquisition will be paid in cash and financed through available credit facilities.

Pannon GSM was the first international mobile operation in which Telenor was involved. During 1993/1994, Pannon GSM established commercial mobile services in Hungary. Pannon GSM announced June 1, 2001, that its number of subscribers had exceeded 1,500,000, which is a net growth of approximately 300,000 subscribers since year-end 2000, with a market share of approximately 40 percent. For the six months ended June 30, 2001, Pannon GSM reported revenues of Euro 236.9 million and EBITDA of Euro 81.6 million representing an EBITDA margin of 34 percent.

Hungary has a population of 10.1 million people and, according to the Hungarian Communications Authority, a mobile penetration of approximately 38 percent, which just surpassed fixed line penetration as of June 30, 2001.
