An extraordinary general meeting of Thrane & Thrane A/S (CVR no. 65 72 46 18) was held earlier today, on Friday, June 29, 2012, at the company’s address, Lundtoftegaardsvej 93D, 2800 Kgs. Lyngby, Denmark.
The meeting was attended by shareholders representing a total of 90.90% of the company’s share capital.
The Board of Directors had appointed Klaus Søgaard as chairman of the meeting. The chairman of the meeting established that the general meeting had been duly convened and formed a quorum for the transaction of the business on the agenda.
The agenda comprised the following business:
- To elect members to the Board of Directors.
On a proposal from Lockman Electronic Holdings Ltd. the shareholders in general meeting elected the following members:
- Niels Heering, Attorney and Partner of Gorrissen Federspiel
- David James Johnston, Executive Vice President Strategy, Cobham
- John Richard Tyson, President, Cobham Aerospace and Security Division.
Subsequently, the Board elected Niels Heering as its chairman.
- To pass a resolution to delist the company’s shares from NASDAQ OMX Copenhagen A/S.
The shareholders in general meeting approved the resolution to delist the company’s shares from NASDAQ OMX Copenhagen A/S.
On behalf of Cobham and Lockman Electronic Holdings Ltd., David James Johnston thanked the retiring Board of Directors for their good work. Mr Johnston also said he was delighted that the deal for Thrane & Thrane had been completed and that he was looking forward to working with the new team.
